Ballard Power Systems has completed its acquisition of UK-based clean power provider GeoPura Limited. The acquisition transitions Ballard into a vertically integrated hydrogen energy ecosystem provider.
Established in 2019, GeoPura produces off-grid power solutions engineered to replace conventional diesel generators. The company manufactures and manages its proprietary Hydrogen Power Unit™ (HPU™), which delivers 99.9999% (6-9’s) power reliability in temporary and remote applications. Powered by internal Ballard fuel cell engines, these units generate electricity with zero local emissions. GeoPura also operates green hydrogen electrolysis production facilities and owns the largest compressed hydrogen distribution vehicle fleet in the United Kingdom.
Unlocking Energy-as-a-Service (EaaS) Capabilities
By combining GeoPura’s generation infrastructure, fuel logistics, and HPU platform with Ballard’s fuel cell stack engineering, the acquisition enables an integrated Energy-as-a-Service (EaaS) business model. The expanded capability establishes a single point of delivery for zero-emission energy, solidifying Ballard‘s commercial presence across European markets while opening expansion pathways into North America.

Key Financial & Governance Structure
Under the terms of the transaction agreement, Ballard paid an upfront consideration of £275.0 million:
Cash Component: £82.5 million in cash.
Equity Issuance: 49,584,212 newly issued Ballard common shares alongside restricted share units (RSUs) to be settled in 12 months for an additional 1,084,540 common shares.
Pro-Forma Ownership: Former GeoPura shareholders now hold approximately 14.1% of Ballard’s outstanding common equity on a pro-forma basis.
Earn-Out Provision: Up to an additional £27.5 million in contingent consideration may be paid out based on GeoPura achieving specified post-closing financial targets.
Following the closing, Andrew Cunningham has assumed the role of President of Ballard, reporting directly to CEO Marty Neese. Additionally, Andrew Cunningham and Lord Richard Harrington—former UK Business and Industry Minister and former Chairman of GeoPura—have joined Ballard’s Board of Directors as designated shareholder nominees.
