Rocket Lab to Acquire Iridium to Create Vertically Integrated Space Powerhouse

Rocket Lab Corporation has reached a definitive deal to buy satellite communications company Iridium Communications Inc. In this record-breaking deal, Rocket Lab Corporation will be purchasing all of the existing shares of Iridium’s common stock for $54 per share in a combined cash and stock acquisition, which values Iridium at an enterprise value of approximately $8.0 billion.

The merger is considered the most game-changing acquisition in the history of the commercial space industry as two top American aerospace firms join together to create a powerful player in the emerging global space market. With the help of Rocket Lab Corporation’s efficient launch vehicles and satellite manufacturing platform, as well as the satellite constellation, spectrum rights, and 500+ partners network of Iridium, the merger creates a powerful and competitive vertically integrated space business. It will have everything it takes to create, manufacture, launch and control its own LEO constellations and deliver mission-critical voice and data services around the world.

The acquisition provides Rocket Lab with an immediate, high-margin foothold in the space-based applications market. This includes proprietary and standards-based satellite Internet of Things (IoT) infrastructure, direct-to-device (D2D) mobile connectivity, alternative positioning, navigation, and timing (PNT) architectures, and critical safety-of-life networks. Positioned as a formidable challenger in the international telecommunications sector, Rocket Lab plans to aggressively build upon Iridium’s existing framework to scale into unpenetrated markets and pioneer next-generation orbital services.

At the core of the transaction is Iridium’s globally harmonized L-band spectrum allocations and highly resilient LEO network, which together provide the foundation for secure communications across the defense, government, aviation, maritime, and commercial industries. Serving a global footprint of more than 2.55 million active subscribers, Iridium delivers weather-resilient data links and a critical alternative PNT layer for applications operating where traditional GPS and Global Navigation Satellite Systems (GNSS) are degraded or actively denied. Integrating Rocket Lab’s manufacturing efficiencies and launch manifest control will fast-track the development and eventual deployment of Iridium’s future constellation architectures. This includes the expansion of direct-to-device capabilities via the Iridium NTN DirectSM platform, a service poised to become an essential tool for emergency response and U.S. national security by guaranteeing resilient communication links during terrestrial network failures.
