Keysight Technologies, announced the successful completion of its acquisition of Spirent Communications plc, strengthening Keysight’s portfolio in test, measurement, and network automation solutions.

This acquisition accelerates our strategy and positions us to deliver even greater value in a rapidly evolving technology landscape,” said Satish Dhanasekaran, Keysight’s President and Chief Executive Officer.
Spirent Communications is a global leader in automated testing and assurance. They focus on networks, cybersecurity, and positioning. Its products, services, and managed solutions help businesses and service providers with testing, assurance, and automation challenges. These challenges arise from next-gen technologies like 5G, SD-WAN, cloud, and autonomous vehicles.

The deal valued the combined company at about £1.16 billion (US $1.46 billion) when completely diluted. Spirent shareholders will get 202.5 pence per share. This includes 199 pence in cash and 3.5 pence from special dividends already paid. Spirent shares will be removed from the London Stock Exchange on October 17, 2025. Its operations and financial results will merge with Keysight’s Communications Solutions Group.
Regulatory Approvals Completed
The acquisition happened after meeting all regulatory requirements. This includes approvals from U.S. Department of Justice (DOJ)

Keysight and Spirent will sell Spirent’s high-speed Ethernet, network security, and channel emulation businesses. This divestiture is set to finish on October 16, 2025.
